The issues in this appeal arise out of a loosely drawn commercial agreement for the sale of shares in a Lloyd's broker, Robert Bruce Fitzmaurice Ltd ("RBF"). The vendor was Robert Bruce Fitzmaurice (Group) Ltd ("RBF Group"). The purchaser was The Square Mile Partnership Ltd ("S"), the appellant.
